A gym membership agreement covers dues ($30–$80/month budget-to-mid-market), the term (month-to-month vs. 12-month commitment), and the legally sensitive parts: auto-renewal disclosure and easy-cancellation mechanics (the FTC and many states require cancellation to be as easy as signup), statutory cooling-off periods (commonly 3–10 days for health clubs), freeze policies, and a liability waiver that covers ordinary negligence but not gross negligence. Many states also require gyms to carry a bond and cap prepaid contract lengths.

What your gym membership agreement should cover

01

Membership type and term

Month-to-month, 12-month commitment, or prepaid — with the price difference visible. Several states cap contract length (commonly 24–36 months) and restrict large prepayments; the term clause must fit the state's health-club statute.

02

Dues, fees, and billing date

Monthly dues, the enrollment fee, the annual 'maintenance' fee with its billing month, and the draft date. Every fee disclosed at signing — surprise fees drive chargebacks and attorney-general complaints in this industry.

03

Auto-renewal disclosure

Clear and conspicuous renewal terms, advance notice of renewal where state law requires it, and a cancellation mechanism as easy as enrollment. Online signup with in-person-only cancellation is the pattern regulators now target.

04

Cooling-off right

The statutory rescission window — typically 3–10 days from signing depending on state — during which the member cancels for a full refund. The notice must appear in the contract, often in statutorily prescribed bold text.

05

Cancellation terms beyond cooling-off

Month-to-month: 30 days' notice. Term contracts: the statutory escape hatches most states mandate — relocation beyond a stated distance (commonly 25 miles from any club), disability, and death — plus any buyout option.

06

Freeze policy

Medical and travel freezes: eligible reasons, maximum duration (commonly 1–6 months), the reduced freeze fee if any, and how the freeze extends a term contract rather than shortening it.

07

Liability waiver and assumption of risk

The member assumes inherent exercise risks and waives ordinary-negligence claims. Waivers don't cover gross negligence or intentional conduct anywhere, and a few states (notably New York) restrict gym waivers sharply — draft to the state.

08

Rules, conduct, and termination by the gym

Facility rules incorporated by reference, guest policies, and the gym's right to terminate for conduct violations with a prorated refund of prepaid dues. Filming/photography rules earn their place in the social-media era.

09

Health representation

The member represents fitness to exercise and is encouraged to consult a physician — paired with a PAR-Q intake. This supports the waiver; it doesn't replace it.

Typical gym membership terms (U.S., 2026)

ItemTypical range / ruleNotes
Monthly dues (budget–mid)$30 – $80Boutique/studio: $100 – $250
Enrollment fee$0 – $100Often waived in promotions
Annual fee$40 – $80Disclose billing month at signing
Cooling-off period3 – 10 daysState health-club statutes
Cancellation notice (M2M)30 daysMust be easy to execute
Relocation escape~25 milesStatutory in many states
Freeze duration1 – 6 monthsMedical/travel; extends term

Health-club contracts are state-regulated: cooling-off windows, maximum terms, bond requirements, and waiver enforceability all vary. Have the final agreement checked against your state's health-club statute.

How gym membership agreements work in practice

Month-to-month vs. the 12-month commitment

The standard trade: commit for 12 months and pay $10–$20 less per month, or stay month-to-month at the higher rate with 30-day exit. The agreement presents both honestly — the commitment price, the early-termination buyout if any, and the statutory escapes (relocation, disability) that apply regardless. Gyms that bury the differences win the signup and lose the chargeback; the disclosure-forward version wins renewals.

The cancellation that goes wrong

The classic complaint pattern: a member 'cancels' verbally at the front desk, billing continues, and three months later it's a dispute. The agreement prevents this by defining the cancellation channel precisely (online portal, email, or certified mail — matching signup ease), requiring the gym to confirm in writing within a stated period, and stating when the final draft occurs. A confirmation-number practice converts the worst recurring dispute in the industry into a clean process.

Freezes, transfers, and life changes

Members deploy, get injured, and relocate — and state statutes anticipate all three. The agreement's freeze clause handles temporary interruptions (documentation required, term extended by the freeze length); the statutory escapes handle permanent ones (move beyond ~25 miles of any facility, disability with physician documentation, death canceling automatically with refund of unused prepaid dues). Handling these gracefully is also a bond-compliance matter in states that require health clubs to register and post security.

Mistakes that weaken a gym membership agreement

Making cancellation harder than signup

Online enrollment with in-person-only cancellation is the exact pattern the FTC's negative-option rulemaking and state click-to-cancel laws target. Match the channels and confirm cancellations in writing.

Omitting the statutory cooling-off notice

Most states require the rescission notice in the contract, often in prescribed bold language. Missing it can make the entire agreement voidable — not just the missing clause.

Hiding the annual fee

The $59 'equipment fee' that surprises members in month three generates more chargebacks and complaints than any dues increase. Disclose every recurring fee and its billing month at signing.

Overreaching waivers

A waiver that purports to cover gross negligence or intentional acts invites a court to void it entirely in states that construe waivers strictly. Draft to ordinary negligence, conspicuously, with initials.

Ignoring state contract-length caps

Several states cap health-club contracts (commonly 24–36 months) and restrict prepayment amounts, with bond requirements scaling alongside. A lifetime or 5-year prepaid deal may be illegal, not just aggressive.

  • Studio class packs and drop-ins — punch cards and class credits are simpler purchase terms, not membership contracts.

FAQs

Can I cancel a gym membership after signing?

Yes — state health-club statutes give a cooling-off window, typically 3–10 days after signing, for a full refund. After that, month-to-month memberships cancel on 30 days' notice, and term contracts cancel through statutory escapes like relocation beyond ~25 miles, disability, or any buyout the contract offers.

Are gym contracts legally binding?

Yes, when they comply with the state's health-club statute — required disclosures, cooling-off notice, term caps, and lawful cancellation mechanics. Agreements missing required notices can be voidable by the member, which is why compliant drafting protects the gym more than aggressive drafting does.

What is a gym liability waiver and does it hold up?

It's the clause where members assume inherent exercise risks and waive ordinary-negligence claims. Courts generally enforce clear, conspicuous waivers for ordinary negligence — but never for gross negligence or intentional conduct, and some states (like New York) sharply restrict gym waivers altogether.

Can a gym keep charging me after I cancel?

Only through the notice period the contract states — typically one final billing cycle after a 30-day notice. The agreement should define the cancellation channel, require written confirmation from the gym, and state exactly when the final draft occurs, which is what prevents the zombie-billing dispute.

What happens to my membership if I move?

Most state statutes let members cancel term contracts when they move beyond a stated distance from any of the gym's facilities — commonly about 25 miles — with proof of the new address and at most a small fee. The contract must honor this regardless of its other terms.

Can I freeze my gym membership instead of canceling?

Most gyms allow freezes for medical reasons or extended travel — typically 1–6 months, sometimes at a reduced monthly fee, with documentation. On term contracts the freeze extends the end date rather than shortening the commitment, and the agreement should say so explicitly.
